Cross-border structuring
Choosing between a branch, subsidiary, LLP or contract model for inbound and outbound business, with the tax, FEMA and treaty effects set out side by side.
T K Chandy & Associates advises on international taxation and transfer pricing in Kochi: structuring cross-border business, DTAA relief, withholding tax on payments to non-residents, permanent establishment risk, transfer pricing documentation and benchmarking, and the accountant's report (Form 3CEB for FY 2025-26, Form 48 under the Income-tax Act, 2025 from tax year 2026-27).

At a glance
When a Kerala business buys software from the US, pays commission to an agent in the Gulf, sets up a subsidiary in Dubai or provides IT services to its foreign parent, two tax systems meet. Each payment raises the same questions: is it taxable in India, at what rate, does a tax treaty reduce it, and has the price been set at arm's length?
Our international taxation and transfer pricing team in Kochi answers those questions before money moves. We help Indian companies expanding abroad, Indian subsidiaries of foreign groups, NRIs and foreign companies doing business in Kerala. Through our membership of SGA World International, we work alongside independent associate firms in the UAE (Saif Chartered Accountants in Dubai and Sharjah, SGA World Auditing & Accounting in Abu Dhabi) and the UK (Smartze Accountants in London and Cardiff), so both sides of a transaction can be looked at together.

Who we advise
If any of these describe your business, cross-border tax rules affect your compliance and your cash flow:
What the engagement covers
Choosing between a branch, subsidiary, LLP or contract model for inbound and outbound business, with the tax, FEMA and treaty effects set out side by side.
Treaty eligibility, tax residency certificates, Form 41, beneficial ownership and the principal purpose test, and relief for foreign tax under section 159.
Taxability and TDS rate on each remittance, the CA certificate and online remittance forms (formerly Forms 15CA and 15CB), and lower deduction certificates.
Assessing whether staff, agents, servers or project sites in India create a PE for a foreign company, or abroad for an Indian one.
The annual TP study with functional analysis, method selection, benchmarking and the documentation the law requires.
Form 3CEB for FY 2025-26 and Form 48 from tax year 2026-27, covering international and specified domestic transactions.
Searches for comparable companies and transactions in recognised databases, with filters and working capital adjustments explained.
Checking whether safe harbour margins or an advance pricing agreement give more certainty than annual benchmarking.
Replies to Transfer Pricing Officer references, DRP objections and appeals on adjustments and withholding demands.
Do the TP rules apply?
Transfer pricing applies to international transactions between associated enterprises, and to some specified domestic transactions. Common examples:
| Transaction | Covered by TP rules? |
|---|---|
| IT or back-office services provided to a foreign parent or group company | Yes |
| Purchase of goods or raw materials from a group company abroad | Yes |
| Royalty, brand fee or management charges paid to the parent | Yes |
| Loans, guarantees or share issue to or from a foreign associated enterprise | Yes |
| Reimbursement of expenses or cost allocation within the group | Yes |
| Sale of goods to an unrelated foreign customer | No |
| Payments between two Indian group companies (unless a specified domestic transaction) | No |
Detailed TP documentation is mandatory where the aggregate value of international transactions exceeds ₹1 crore. Below that, the accountant's report is still required if you have any international transaction with an associated enterprise.
Our process
Step01
We list all transactions with associated enterprises from your books and agreements, and confirm which are international or specified domestic transactions.
Step02
We interview your team to map functions performed, assets used and risks assumed by each party, which decides how the entity is characterised.
Step03
We select the most appropriate method (often TNMM for service companies) and run a comparables search to set the arm's length range.
Step04
We prepare the TP study and certify the accountant's report (Form 3CEB or Form 48) before the due date.
Step05
We review intercompany agreements and pricing for the next year, and support you in any TP assessment.

Withholding tax
Any payment to a non-resident that is chargeable to tax in India needs tax deducted at source under section 393 of the Income-tax Act, 2025 (section 195 under the 1961 Act). The rate depends on the nature of the income (royalty, fees for technical services, interest, dividend, business income) and on whether a tax treaty gives a lower rate or exempts it.
To use the treaty rate, the non-resident must give you a tax residency certificate and Form 41 (which replaced Form 10F), and usually a declaration that it has no permanent establishment in India. Many payments, such as for software subscriptions or overseas marketing, may not be taxable in India at all, but that must be documented before the remittance. We review the contract, give our opinion and issue the CA certificate needed by your bank for the remittance.
Worked example
An Indian private limited company in Kakkanad, wholly owned by a UK parent, provides software development services only to its parent and earned a cost-plus mark-up set by group policy.
The company filed its TP documentation and accountant's report on time, and the group now reviews the mark-up each year before it closes its books.
Fees and timing
The fee depends on the number and type of international transactions, the number of associated enterprises, whether a fresh benchmarking search is needed or last year's can be updated, segmentation of accounts, and whether specified domestic transactions also apply. Advisory work on structuring or withholding is quoted per transaction. We give a fixed fee in writing after reviewing your group structure and transactions. A first-year TP study usually needs four to six weeks, so we recommend starting by July for a 31 March year end.

Short answers to the questions clients in Kochi ask us most. Still unsure?
Talk to our teamTransfer pricing rules require transactions between associated enterprises, such as a foreign parent and its Indian subsidiary, to be priced as independent parties would price them (the arm's length price). The rules are now in sections 161 to 173 of the Income-tax Act, 2025.
Every person who has entered into an international transaction or a specified domestic transaction during the year must obtain and file an accountant's report. For FY 2025-26 this is Form 3CEB; from tax year 2026-27 it is Form 48 under section 172.
Form 48 is the accountant's report on international and specified domestic transactions under section 172. It replaces Form 3CEB from tax year 2026-27, is filed online on the e-filing portal, and is due one month before the return due date.
The report is due one month before the due date of the income tax return. With the return due date for transfer pricing cases on 30 November, the report is due by 31 October, unless the CBDT extends the date.
When the aggregate value of international transactions in the year exceeds ₹1 crore. The documentation includes the group structure, functional analysis, method selected and benchmarking, and must be kept for the prescribed period.
The law provides a penalty of 2% of the value of each international transaction for failure to maintain or furnish documentation, and a fixed penalty for failure to furnish the accountant's report. Adjustments to the price can also lead to additional tax and interest.
Most captive IT and ITeS companies use the Transactional Net Margin Method (TNMM), comparing their operating margin on cost with that of independent comparable companies.
A safe harbour is a margin or rate set by the rules that the tax department accepts without a detailed TP audit if the taxpayer opts in. Budget 2026-27 announced a wider safe harbour for IT and IT-enabled services; we check the notified rules before you opt in.
It depends on the nature of the payment and the tax treaty. Royalty and fees for technical services usually carry a domestic rate that a treaty may reduce, while some payments are not taxable in India at all. Tax is deducted under section 393, and the treaty rate needs a tax residency certificate and Form 41.
Under the Income-tax Rules, 2026, Form 10F has been replaced by Form 41. A non-resident claiming treaty benefits must provide a tax residency certificate and Form 41 to the payer.
No. The 2% levy on e-commerce operators was abolished from 1 August 2024 and the 6% levy on online advertising from 1 April 2025. Payments for online advertising to non-residents should now be reviewed under the normal income tax and treaty rules.
A PE is a fixed place of business, dependent agent, service presence or project site through which a foreign company carries on business in another country. If a foreign company has a PE in India, the profits attributable to it are taxable in India.
It can. Many treaties treat services furnished through employees present in the other country for more than a set number of days as a service PE. We review the treaty, the number of days and the contract terms before the deployment.
Yes. We advise on the Indian side and coordinate with our independent associate firms in the UAE and the UK through SGA World International, so treaty positions and documentation agree in both countries.
An APA is an agreement with the CBDT that fixes the transfer pricing method or price for future years, and can also cover past years under rollback. It gives certainty for up to five years and can be unilateral, bilateral or multilateral.
